REFERRAL PARTNER AGREEMENT

("The Broker")

AND The Referral Partner as detailed in this application ("The Referrer")

1. Commission Structure

Referral Fee: 25% of the upfront commission received by The Broker from the Lender, payable within 30 business days of successful loan settlement.

• Payable only upon successful drawdown (funds advanced by lender)
• All fees are exclusive of GST (GST added where applicable)
• Valid tax invoice required prior to payment
• Calculated on upfront commission only (excludes trail)
• No fee payable for applications that do not proceed to settlement

2. Referrer Obligations

The Referrer warrants and agrees to:

• Only refer clients who have provided informed consent to the referral
• Disclose this referral arrangement to clients where legally required
• Provide accurate information about referred clients
• Not make representations about loan approval, rates, or terms
• Comply with the National Consumer Credit Protection Act 2009 (NCCP Act)
• Not provide credit assistance unless appropriately licensed
• Maintain professional standards and comply with all applicable laws
• Not accept additional payment from the referred client

3. Broker Obligations

The Broker agrees to:

• Provide professional finance services in accordance with the NCCP Act and ASIC guidelines
• Act in the best interests of referred clients
• Maintain appropriate licensing and professional indemnity insurance
• Pay referral fees per the agreed terms
• Keep the Referrer informed of application progress (subject to client consent)
• Handle client information per the Privacy Act 1988

4. Clawback Provisions

If a referred client's loan is discharged within 24 months and the Lender requires The Broker to refund commission, The Referrer agrees to refund the proportionate share of the referral fee within 14 days of written notice.

5. Confidentiality & Privacy

• Both parties must keep all client and business information confidential
• Comply with the Privacy Act 1988 and Australian Privacy Principles
• Only use personal information for referral purposes

6. Indemnity

The Referrer indemnifies The Broker against any loss arising from breach of this agreement, misrepresentation, or provision of unlicensed credit assistance.

7. Term & Termination

• Either party may terminate with 30 days written notice
• Immediate termination available for material breach, unlicensed credit activities, insolvency, or unethical conduct
• Fees for referrals made prior to termination remain payable upon settlement

8. Independent Contractor

The Referrer is an independent contractor, not an employee or agent of The Broker. The Referrer is responsible for their own tax obligations.

9. Governing Law

This Agreement is governed by the laws of Victoria, Australia.
